I have a 98 Grand Cherokee and it has been making a ringing noise (I guess that's the best way to describe it) anytime the engine goes into overdrive. I've looked around and havn't been able to figure out what is causing it. There doesn't seem to be any change in engine performance. So any ideas what this noise might be and what I need to do to fix it?

Have you checked fluid levels? Is it only in OD? How many miles on it? Could also be something completely unrelated that just happens to make noise at that speed / vibration level of the transmission. I don't know just throwing ideas out there.

U-joints, or maybe the front CV... does it seem to be speed varied, or just when in OD, no matter what the speed?
Could also be the flex plate or torque converter. My grandparents '94 grand with the 4.0 gets I guess what you could call a "ringing" noise, its comming from the torque converter. I've also heard a similiar sound in other vehicles that have cracked flex plates.

All the fluid levels are good. It has 135,000 miles on it. It only makes the noise when the engine is in OD, it doesn't matter what speed but only in OD. I've turned the OD off and then no more noise.

Could be a bearing in the OD. I Beleive the ODs used in that transmission are a bolt on unit, basically an OD that bolts on to the back of a 3spd tranny. See if there are any tranny shops in your area that offer a free diagnosis, take it there and see what they say.
Those over drive units have a huge spring in them that put alot of tension on the bearings.
